Terms of service
Effective from November 18, 2025
Welcome to UNI. These Terms of Service ("Terms") govern your access to and use of the UNI platform, website, and services available at uni.xyz (collectively, the "Platform"). By accessing or using UNI, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Platform. We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance of the modified Terms.
1. User agreement
This User Agreement ("Agreement") is a legal contract between you and UNI Technologies Inc. ("UNI", "we", "us", or "our") governing your use of the UNI platform and services.
1.1 Acceptance of terms
By creating an account, accessing, or using UNI, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, Community Guidelines, and any additional terms that may apply to specific features or services.
Your continued use of the Platform following the posting of changes to these Terms constitutes your acceptance of such changes.
1.2 Changes to terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on the Platform at least 30 days before taking effect.
If you do not agree to the modified Terms, you must discontinue using the Platform before the changes take effect.
1.3 Eligibility
You must be at least 13 years old to use UNI. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use UNI with parental or guardian consent.
For users in the European Union, European Economic Area, and United Kingdom, you must be at least 16 years old or have parental consent to use our services.
By using UNI, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into this Agreement.
2. Use of UNI
UNI provides a platform for designers, architects, and creative professionals to showcase their work, participate in competitions, collaborate with others, and access professional development resources.
2.1 Account registration
To access certain features of UNI, you must create an account. When registering, you agree to provide accurate, current, and complete information.
You may register using your email address or through supported third-party authentication providers (Google, LinkedIn, etc.).
2.2 Account security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must immediately notify us of any unauthorized access or security breach. UNI will not be liable for any loss or damage arising from your failure to protect your account credentials.
2.3 Acceptable use
You agree to use UNI only for lawful purposes and in accordance with these Terms, our Acceptable Use Policy, and our Community Guidelines. You must respect other users, their content, and intellectual property rights.
2.4 Prohibited activities
The following activities are strictly prohibited on UNI:
- Posting content that violates laws or third-party rights
- Harassment, bullying, or threatening other users
- Impersonating others or providing false information
- Distributing malware, viruses, or harmful code
- Scraping, crawling, or automated data collection without permission
- Manipulating competitions, voting systems, or ratings
- Creating multiple accounts to circumvent rules or bans
- Selling, transferring, or sharing your account credentials
- Interfering with platform security or infrastructure
- Using the platform for spam or unsolicited marketing
- Attempting to gain unauthorized access to systems or accounts
- Violating intellectual property, privacy, or other legal rights
2.5 User content
You may upload, submit, or publish content including projects, images, text, and other materials ("User Content"). You are solely responsible for your User Content and the consequences of posting it.
2.6 Membership services
UNI offers various membership tiers with different features and benefits. Membership fees are charged in advance for the selected billing period (weekly, monthly, semester, or annual).
All fees are stated in USD unless otherwise indicated. Prices are subject to change with 30 days advance notice.
2.7 Payment processing
Payments are processed through third-party payment providers including PayPal and Razorpay. UNI does not store complete payment card information.
By making a purchase, you authorize us to charge your selected payment method for the total amount of your order, including applicable taxes and fees.
2.8 Refund policy
Membership fees are generally non-refundable except where required by applicable law. Refunds for technical errors or duplicate charges may be issued at our discretion.
Competition entry fees are non-refundable once submitted. Review all competition terms before payment.
2.9 Cancellation
You may cancel your membership at any time through your account settings. Cancellation takes effect at the end of the current billing period.
No partial refunds will be provided for unused portions of a billing period.
2.10 Account suspension
We may suspend or limit access to your account if we reasonably believe you have violated these Terms or engaged in fraudulent or abusive behavior.
Suspended accounts remain responsible for any outstanding fees. We will provide notice and an opportunity to appeal where appropriate.
3. Content rights & responsibilities
This section outlines the ownership, licensing, and responsibilities related to content on the UNI platform.
3.1 Your content
You retain all ownership rights to your original User Content. UNI does not claim ownership of any content you submit.
You represent and warrant that:
- You own or have obtained all necessary rights to your User Content
- Your User Content does not infringe on any third-party rights
- Your User Content complies with all applicable laws and these Terms
- You have obtained all necessary permissions from individuals depicted in your content
3.2 License grant
By submitting User Content, you grant UNI a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute your content in connection with operating and promoting the Platform.
This license is necessary for us to provide our services and includes the right to:
This license terminates when you delete your content from the Platform, except for cached copies and content shared by other users.
- Display your content to other users and visitors
- Feature your content in promotional materials
- Create derivative works such as thumbnails and previews
- Store backup copies for platform integrity
3.3 Content removal
You may delete your User Content at any time through your account. Deleted content will be removed from public view, though cached or archived copies may persist for a reasonable period.
We reserve the right to remove any content that violates these Terms, our Community Guidelines, or applicable law.
3.4 UNI's content
The Platform itself, including its design, features, text, graphics, logos, and software, is owned by UNI and protected by intellectual property laws.
You are granted a limited, non-exclusive license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.
You may not:

- Copy, modify, or distribute UNI's proprietary content
- Reverse engineer or attempt to extract source code
- Remove any copyright or proprietary notices
- Use UNI's branding without written permission
3.5 Copyright policy
UNI respects intellectual property rights and expects users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and similar laws. For more details, see our Copyright Policy.
If you believe content on UNI infringes your copyright, please submit a DMCA notice to copyright@uni.xyz with the required information.
Repeat infringers will have their accounts terminated in accordance with our repeat infringer policy.
UNI acts as a platform facilitator and is not responsible for User Content. Users are solely responsible for ensuring their content complies with all applicable laws and third-party rights.
4. Integrated service provider
UNI integrates with various third-party services to enhance your experience, including social media platforms, payment processors, analytics services, and cloud storage providers.
When you use features that involve third-party services, you may be subject to their terms of service and privacy policies in addition to ours.
Third-party integrations available on UNI may include:
- Social authentication (Google, LinkedIn, etc.)
- Payment processing (PayPal, Razorpay)
- Cloud storage and file hosting
- Analytics and performance monitoring
- Communication and notification services
5. More from UNI
UNI offers additional services and features that enhance your experience on the platform.
5.1 Third-party links
The Platform may contain links to third-party websites, services, or resources. These links are provided for convenience only.
UNI does not endorse and is not responsible for the content, accuracy, or practices of third-party sites. Your use of third-party links is at your own risk.
5.2 Partner services
UNI may partner with other organizations to offer additional services, promotions, or benefits to users.
Partner services are governed by their own terms and privacy policies. UNI is not responsible for partner services or any disputes arising from their use.
5.3 API access
UNI may provide API access for approved developers and partners. API usage is subject to additional terms and rate limits.
Unauthorized API access or abuse may result in access revocation and legal action.
6. Competitions on UNI
Always review individual competition terms before submitting. Competition organizers set their own rules, judging criteria, and intellectual property terms.
UNI hosts design competitions organized by UNI and third-party organizers. Competition participation is subject to these Terms and each competition's specific rules.
6.1 Competition participation
To participate in competitions, you must have an active UNI account and meet any eligibility requirements specified in the competition brief.
Some competitions may require:
By entering a competition, you agree to that competition's specific terms in addition to these general Terms of Service.
- Active membership subscription

- Specific qualifications or credentials
- Team formation or individual participation
- Geographic or age-based eligibility
6.2 Entry submissions
All competition entries must comply with the competition brief requirements, submission guidelines, and deadlines.
Late submissions, incomplete entries, or entries that violate competition rules may be disqualified at the organizer's discretion.
You represent and warrant that your competition entry is original work created by you and does not infringe on any third-party rights.
6.3 Judging & prizes
Competition judging is conducted by juries appointed by the competition organizer. Judging criteria and processes are determined by each competition.
Jury decisions are final. UNI is not responsible for judging decisions and does not guarantee any particular outcome.
Prize delivery is the sole responsibility of the competition organizer. UNI facilitates the competition platform but does not guarantee prize delivery or value.
6.4 Intellectual property
Intellectual property rights for competition entries vary by competition. Some competitions may require transfer of rights to the organizer upon winning.
Carefully review each competition's intellectual property terms before submitting. By entering, you agree to the intellectual property provisions specified in the competition terms.
Unless otherwise specified, you retain ownership of your competition entries, subject to the license grant in Section 3.2.
UNI acts as a platform facilitator for competitions. Competition organizers are solely responsible for competition rules, judging, prize delivery, and intellectual property terms.
7. Disclaimers & limitation of liability
Please read this section carefully as it limits UNI's liability to you.
7.1 Service disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
UNI SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
Any material downloaded or obtained through the Platform is done at your own discretion and risk.
- The Platform will meet your requirements
- The Platform will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Platform will be accurate or reliable
- Any errors in the Platform will be corrected
7.2 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising from your use of the Platform is limited to the greater of: (a) the amount you paid to UNI in the 12 months preceding the claim, or (b) $100 USD.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
8. Indemnification
You agree to indemnify, defend, and hold harmless UNI, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
This indemnification obligation will survive termination of this Agreement and your use of the Platform.
- Your use of the Platform
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of any applicable law
9. Termination
You may terminate your account at any time by deleting it through your account settings or by contacting us at support@uni.xyz.
We may terminate or suspend your account immediately, without prior notice, if we believe you have violated these Terms, engaged in fraudulent or abusive behavior, or for any other reason at our sole discretion.
Upon termination:
Sections of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
- Your right to access and use the Platform ceases immediately
- Any outstanding fees remain due and payable
- Your User Content may be deleted (subject to backup retention)
- We may retain certain information as required by law
10. Dispute resolution
We encourage you to contact us first to resolve any disputes informally. Please reach out to legal@uni.xyz before pursuing formal legal action.
BINDING ARBITRATION: Any dispute, claim, or controversy arising from these Terms or your use of UNI shall be resolved through binding arbitration rather than in court, except for claims that may be brought in small claims court.
Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association (AAA) Consumer Arbitration Rules. The arbitration will take place in California, USA, unless another location is mutually agreed upon.
CLASS ACTION WAIVER: You agree to resolve disputes with UNI on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against UNI.
These Terms are governed by the laws of the State of California and the United States, without regard to conflict of law principles. For any actions not subject to arbitration, you agree to submit to the personal jurisdiction of courts located in California.
11. General terms
This section contains additional legal provisions governing these Terms and your use of the Platform.
- Entire Agreement: These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and UNI regarding your use of the Platform.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
- Assignment: You may not assign or transfer these Terms or your rights hereunder. UNI may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
- Force Majeure: UNI is not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
- Notices: We may provide notices to you via email, platform notification, or by posting on the Platform. You may provide notices to us at legal@uni.xyz.
- Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
